These Terms and Conditions (“Terms”) govern your access to and use of Asynchor, a service operated by R-DEV Limited, a New Zealand-based company (“we”, “us”, “our”). By creating an account or using Asynchor’s website, mobile apps, or services, you agree to be bound by these Terms.

1. Overview of Service

Asynchor is a software-as-a-service (SaaS) platform designed to facilitate asynchronous communication, personal reflection, and team collaboration through audio journaling, AI-powered transcription, summarization, and topic tracking tools.

2. Eligibility

You must be at least 13 years old to use Asynchor. By using our services, you affirm that you meet this requirement and that you are not barred from using the service under applicable law.

3. Account Registration and Management

  • Account Creation: You must create an account through the Asynchor web platform. Mobile apps serve as companion tools and do not support registration.

  • Subscription: Access to core features requires an active subscription. Without it, most functionalities will be disabled.

  • Team Creation: Only users with active subscriptions can create teams or invite others.

  • Account Termination: You may delete your account at any time. We reserve the right to suspend or terminate any account at our discretion for violation of these Terms. Refunds will not be issued for terminated accounts.

4. User Content and Ownership

  • Your Content: You retain ownership of the voice recordings and any content you upload. You grant us a license to process, analyze, and store this data for the purpose of delivering the service.

  • Generated Content: AI-generated summaries, embeddings, and topics may be partially owned or managed by Asynchor to enhance your experience and platform functionality.

  • Privacy of Content: Content remains private to your account or team. We do not monitor or publicly distribute your personal updates.

5. Acceptable Use

You are solely responsible for the content you create and store. While we do not moderate journals, you agree not to use Asynchor for:

  • Any unlawful purposes

  • Uploading or sharing malicious software

  • Circumventing security or authentication features

6. AI Disclaimer

Asynchor uses AI technologies (e.g., transcription, summarization via VertexAI) to enhance user experience. AI-generated insights are for informational purposes only and should not be relied upon for legal, medical, or critical professional decision-making.

7. Service Availability

Asynchor relies on third-party infrastructure (e.g., Google Cloud Platform, VertexAI, Stripe). While we strive for high availability, we do not guarantee uninterrupted access and are not responsible for downtimes caused by third-party services.

8. Billing and Subscriptions

  • Billing Model: Subscriptions are per-user and include a set number of minutes for journal processing. Additional usage is billed separately.

  • Payment Processing: All payments are securely handled via Stripe.

  • Refunds: No refunds are issued for unused time or terminated accounts.

9. Data Security and Deletion

We use industry-standard measures to protect your data. Manual deletion requests can be submitted via tomas@rdev.co.nz.

10. Limitation of Liability

Asynchor is provided “as is” and “as available.” To the maximum extent permitted by law, R-DEV Limited disclaims all warranties and is not liable for any direct or indirect damages, including loss of data or business interruption.

11. Governing Law

These Terms are governed by the laws of New Zealand, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of New Zealand.

12. Changes to These Terms

We may update these Terms to reflect changes in legal or operational needs. Users will be notified via email and/or the website when updates occur. Continued use of Asynchor after updates constitutes acceptance of the revised Terms.
